Terms of Service
1. Acceptance of Terms
By accessing or using the Steddi platform (“Service”), you agree to be bound by these Terms of Service (“Terms”). If you are using the Service on behalf of a company or organisation, you represent that you have the authority to bind that entity to these Terms.
If you do not agree to these Terms, you must not access or use the Service.
2. Description of Service
Steddi is a delivery management platform that provides tools for route planning, driver management, proof of delivery, customer notifications, invoicing, collection routes, warehouse management, and related logistics services. The Service is provided as a cloud-based software-as-a-service (SaaS) solution.
3. Account Registration
To use the Service, you must create an account and provide accurate, complete information. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activity that occurs under your account
- Notifying us immediately of any unauthorised access
- Ensuring that all users you add to your account comply with these Terms
You must be at least 18 years old to create an account. Each account is for a single business entity.
4. Subscription Plans & Payment
Steddi offers several subscription tiers: Starter, Pro, Premium, and Enterprise. Details of features, pricing, and add-ons are available on our pricing page.
- Free trial: New accounts may include a 7-day free trial. No payment is required during the trial period.
- Billing: Subscriptions are billed monthly in advance. Payment is processed via our third-party payment provider (currently Stripe).
- Price changes: We may adjust pricing with at least 30 days’ written notice. Price changes take effect at the start of your next billing cycle.
- Taxes: All prices are exclusive of VAT and applicable taxes, which will be added where required.
5. Cancellation & Refunds
You may cancel your subscription at any time from your account settings or by contacting us. Upon cancellation:
- Your subscription remains active until the end of the current billing period
- No further charges will be made after cancellation
- We do not provide pro-rata refunds for unused portions of a billing period
- You may export your data before your account is deactivated
We reserve the right to offer refunds at our discretion on a case-by-case basis.
6. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:
- Use the Service to violate any applicable law or regulation
- Upload or transmit viruses, malware, or other harmful code
- Attempt to gain unauthorised access to any part of the Service
- Interfere with or disrupt the integrity or performance of the Service
- Reverse engineer, decompile, or disassemble any part of the Service
- Resell, sublicence, or redistribute the Service without our written consent
- Use the Service to store or transmit content that is unlawful, harmful, or infringes on the rights of others
7. Your Data
You retain all rights to the data you upload to the Service (“Your Data”). By using the Service, you grant us a limited licence to process Your Data solely for the purpose of providing the Service to you.
- Ownership: Your Data remains your property. We do not claim ownership of your routes, customer data, delivery records, or any other content you create in the Service.
- Data export: You may export Your Data at any time in standard formats.
- Data protection: We handle Your Data in accordance with our Privacy Policy and applicable data protection laws.
- Aggregated data: We may use anonymised, aggregated data (that cannot identify you or your customers) to improve the Service and for statistical analysis.
8. Intellectual Property
The Service, including its design, code, features, documentation, branding, and all related intellectual property, is and remains the property of Steddi. These Terms do not grant you any rights to our intellectual property except for the limited right to use the Service as described herein.
You must not copy, modify, or create derivative works based on the Service, or use our trademarks, logos, or branding without prior written consent.
9. Availability & Support
We strive to keep the Service available 24/7 but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:
- Scheduled maintenance (we will provide reasonable advance notice)
- Emergency maintenance or security updates
- Circumstances beyond our reasonable control
Support is available via email at support@getsteddi.com. Response times vary by plan — Premium and Enterprise customers receive priority support.
10. Limitation of Liability
To the maximum extent permitted by law:
- The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied
- We do not warrant that the Service will be error-free, secure, or uninterrupted
- Our total liability for any claims arising from or relating to the Service shall not exceed the total fees paid by you in the 12 months preceding the claim
- We shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of profits, data, or business opportunities
Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by law.
11. Indemnification
You agree to indemnify, defend, and hold harmless Steddi and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights
- Your Data or content you upload to the Service
12. Termination
We may suspend or terminate your access to the Service immediately if:
- You breach any material provision of these Terms
- Your payment is overdue by more than 14 days
- You engage in activity that harms the Service or other users
- Required by law or regulation
Upon termination, your right to use the Service ceases immediately. We will make Your Data available for export for 30 days following termination, after which it may be deleted.
13. Governing Law & Disputes
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.
Before initiating legal proceedings, both parties agree to attempt to resolve any dispute through good-faith negotiation for a period of at least 30 days.
14. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by email or through the Service at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes your acceptance of the updated Terms.
If you do not agree to the updated Terms, you must stop using the Service before the changes take effect.
15. General Provisions
- Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Steddi regarding the Service.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
- Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
- Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
